TERMS AND CONDITIONS

As part of ITV’s year-long project called ITV Creates, where ITV invites artists to create an artwork that is their expression of the ITV logo which is then filmed and produced into a set of idents by ITV and broadcast on ITV for one week during 2019 (the “Project”), ITV is giving junior creatives an opportunity to provide a proposal for a sculptural / 3D piece of artwork that is an expression of the three-part ITV logo (the “Artwork”), with one of the proposals being selected and potentially included in the Project.

Opening date and time:

Nominations open at the Goodstuff Media Showcase on 16th May 2019.

Closing date and time:

Nominations close on 29th May 2019 at 11.59pm.

Eligibility:

Each agency in attendance at the Goodstuff Media Showcase (“Agency”) may nominate one of their junior creatives to enter a proposal for an Artwork (the “Nominee”).

The Nominee must meet the following eligibility criteria:

  1. Nominees must be UK residents and over the age of 18 at the time of the nomination;

  2. Nominees must be junior creative employees of an Agency, being an employee or contractor who has only worked as a creative for a creative agency for less than two years at the time of nomination and/or is on a graduate scheme at the Agency;

  3. Nominees must not have been previously employed or directly engaged by ITV (or any ITV group company);

  4. Nominees must agree to take part in any filming, broadcast and publicity related to the Project; and

  5. Nominees must be available to travel to London for one day to install the Artwork at a London based studio if they are selected, exact date to be advised but will likely be between the 24th of June 2019 and 30th of June 2019.

Nominees must let ITV know if they have ever been convicted of a crime, if they are the subject of ongoing criminal proceedings or investigations, or if they have any County Court Judgments against them. Disclosure of criminal convictions, current criminal proceedings or investigations and other matters including those that may cause potential disrepute, may not automatically exclude Nominees from the selection process but ITV and/or any judging panel shall be entitled to exercise their sole discretion in this regard and may invalidate a Nominee’s application or otherwise result in the termination of the Nominee’s participation in the competition. In all cases the decision of ITV and/or the judging panel shall be final. ITV reserves the right to check that all eligibility conditions have been met at any time throughout the process and if ITV suspects that a Nominee is not eligible to participate, ITV reserves the right to terminate or suspend their further participation.

How to Nominate:

To make a nomination, the Nominee must send an e-mail to charlotte.berman@itv.com with “ITV Creates Proposal” in the subject line of the email and the following information in the body of the email:

  • The name of the Agency and the name of the Nominee;

  • The Nominee’s telephone number;

  • A short proposal outlining the Artwork concept (the “Proposal”), which includes the following:

    • sketches of the proposed Artwork;

    • details of proposed Artwork including the materials used and the process to create the sculpture / 3D Artwork;

    • an explanation of the rationale behind the proposed Artwork, including how it is influenced or inspired by cues from ITV such as communication, television, technology, entertainment, togetherness or even a personal experience or relationship with ITV;

    • details of how the Artwork incorporates ethical and/or sustainable practices (if any); and

    • budget required to create the Artwork along with time frames and any other specific requirements in respect of creating the Artwork.

Only one Artwork proposal may be submitted per Nominee.

By submitting a Proposal to charlotte.berman@itv.com, the Nominee agrees that:

  • they are aged 18 or over and have read and accept these terms and conditions;

  • that ITV Broadcasting Limited will use any information collected as part of this ITV Creates brief in accordance with the Privacy Notice set out here: https://www.itv.com/privacy-compsandvotes

  • ITV may contact the Nominee in relation to such entry;

  • neither the Agency nor the Nominee will receive any fee or compensation for the submission of a Proposal or for any consents and grants given by them in relation to the Proposal;

  • they will not submit any material which in any way infringes the copyright or other rights of a third party, or which infringes any applicable laws;

  • their entry does not contain any material which is in any way defamatory, obscene, unlawful, harmful, offensive or inappropriate or may have the effect of being harassing, threatening, abusive or hateful or that otherwise degrades or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability or which refers directly or indirectly to alcohol or intoxication and must not infringe third party rights  (for example, by including third party branding);

  • ITV does not represent, undertake or warrant that it will contact all Nominees; and

  • they must comply with any instructions and/or directions as given to them by ITV, member of the ITV Group, their subcontractors and agents including without limitation in conformity with the Ofcom Broadcasting Code and all applicable rules, laws, regulations and guidelines.

Selection Process:

Proposals will be judged by a judging panel consisting of up to three representatives from ITV’s Marketing and/or Creative teams (“Judging Panel”). Subject to eligibility and compliance with all applicable terms and conditions, all Proposals will be judged by the Judging Panel.  

The Judging Panel will select one Proposal that they consider best meets the artist brief (being the brief document provided by ITV). The Nominee of the selected Proposal will be contacted and notified of their selection by ITV by the 4th of June 2019 (the “Selected Nominee”). The Judging Panel’s selection will be at their sole discretion and will be final.  

Prize:

The Agency, on behalf of the Selected Nominee, will receive a £4,000 fee (excluding VAT if applicable) for the Selected Nominee to produce the Artwork in accordance with the Proposal (the “Prize”). The provision of the Prize is subject to the Selected Nominee’s Agency entering into an Artwork Commissioning Agreement and the Selected Nominee signing the applicable inducement letter in respect of such Artwork Commission Agreement and the delivery of the Artwork by the delivery date. The Artwork Commission Agreement includes, without limitation, the following terms:

  • The fee that makes up the Prize is to cover all costs associated with creating the Artwork, including materials and time, as well as all costs of transport to deliver the Artwork to the selected location in London. Selected Nominee’s Agency and the Selected Nominee will not receive any other payment or compensation for the production of the Artwork and related appearances.

  • The Selected Nominee must finish the Artwork by the delivery date that ITV has confirmed with the Selected Nominee as ITV is working to very specific shoot dates.

  • ITV will film the Selected Nominee making the Artwork for “behind the scenes” content and other related content which it may then show on its media platforms such as television, social media and anywhere online, without payment to the Selected Nominee, and the Selected Nominee agrees to sign a separate release form in relation to such recordings.

  • ITV will let the Selected Nominee know about the location, date and shoot times for filming and can ask the Selected Nominee to set up the Artwork before the shoot.

  • ITV may also ask the Selected Nominee to give interviews about the Project and to give quotes to promote the Project which ITV can use on any of its media platforms.

  • ITV can disclose the Selected Nominee’s name, biographical information and any material the Selected Nominee or the Selected Nominee’s Agency have supplied to ITV as part of the Proposal and/or Project.

  • The Selected Nominee’s Agency will remain the owner of the Artwork after it has been delivered to ITV, but the Selected Nominee’s Agency will not be able to sell, rent, charge or transfer the Artwork to anyone for a period of two years. The Selected Nominee’s Agency or Selected Nominee will need maintain the Artwork, store it securely, ensure that it is kept in good condition and make the Artwork available for ITV to use during the two-year period.

  • Neither the Selected Nominee nor the Selected Nominee’s Agency can remake or recreate the Artwork for any third party unless ITV instruct either to do so and it has been approved by ITV.

  • If the Selected Nominee’s Agency decides to sell the Artwork after the two-year period, it agrees to pay ITV 10% of the sale price which ITV can use for arts initiatives, charities or grants as selected by ITV.

  • ITV may terminate the Artist Commissioning Agreement for non-delivery of the Artwork, non-attendance to shoots or if the Selected Nominee arrives late and ITV cannot complete the shoot and will not be obliged to pay the fee.

  • The Selected Nominee’s Agency will need to confirm that the work is an original work and that the Selected Nominee has not copied it or used anyone else’s material without their authorisation.

  • ITV will own all of the rights in the films and photographs of the Selected Nominee and the Artwork and ITV can decide where it wants to use them.

  • The Artwork must not be obscene, libellous, blasphemous, defamatory, offensive, or calculated to bring ITV into disrepute.

  • If there is going to be a delay with the delivery of the Artwork the Selected Nominee and/or Agency must let ITV know as soon as possible.

  • The Selected Nominee’s Agency will not be paid the full fee until the Artwork has been delivered to ITV’s satisfaction.

  • ITV does not guarantee that it will include the Selected Nominee and/or the Artwork in the Project; or that the Artwork and/or the Selected Nominee’s appearance in any still or film recordings related to the Project will be broadcast or otherwise publicly made available, even if ITV pays the fee (or a portion thereof). ITV reserves the right, in its sole discretion, to exclude the Selected Nominee and/or the Artwork from the Project or related materials for any reason.

  • ITV will need to process the Selected Nominee’s personal information in order to perform the contract and the planning, administration and exploitation of the Project.
